The Association of Governing Boards of Universities and Colleges (AGB) is a nonprofit 501(c)(3) U.S. higher education association established in 1921. [3] AGB serves approximately 2,000 colleges, universities, and institutionally related foundations. The association provides research, publications, programming, and consulting services to support higher education governance. [4] AGB is located in Washington, D.C. [4]
According to Gale Business Insights, the organization, "addresses the problems and responsibilities of trusteeship in all sectors of higher education and the relationships of trustees and regents to the president, the faculty, and the student body." [1]
AGB was founded in 1921. [4] It grew out of a conference held at the University of Michigan in 1920. [5] Until the early 1960’s the Association of Governing Boards of Universities and Colleges was an affiliation of board members who took turns sharing the leadership and guidance needed to sustain an organization. [6] The early organization operated as the Association of Governing Boards of State Universities and Allied Institutions, and membership was open to “any college or university in any state, or other political sub-division, which may be recognized by a state as a state university, and such other allied or tax-supported institutions as may be elected to membership.” [5] Without a commissioned staff, the association’s activities were limited to annual meetings of its various committees. In 1964, AGB joined with the American Council on Education (ACE) and the American Association of University Professors’ (AAUP) to formulate a joint publication, the Statement on Government of Colleges and Universities. [7] It was published in 1966. [8]
In 1988, AGB and Independent Sector established the National Center for Nonprofit Boards (now BoardSource) to provide information, tools, training, and leadership development for board members of nonprofit organizations. [9]
In 2004, AGB established the John W. Nason Award for Trusteeship. This award was named for John W. Nason, who was president of Swarthmore College during World War II and chair of the National Japanese American Student Relocation Council. [10] [11] He helped get 4,000 American students of Japanese descent out of detention camps to continue their higher education. [10] [11] The award recognizes higher education governing boards that have demonstrated innovation and leadership. [12] Recent recipients include the boards of Colorado Mountain College, [11] Holyoke Community College Foundation, [12] Texas Christian University, [12] Utah State University Foundation, [12] and Xavier University of Louisiana. [12]
In 2010, AGB Search, LLC was created, to provide executive search, interim search, and compensation evaluation services for colleges. [13]
In 2013, AGB formed a commission of former and current leaders to reexamine how boards and regents govern higher education. [14] The National Commission on College and University Board Governance was chaired by Philip N. Bredesen Jr., a former governor of Tennessee, and developed a set of recommendations for college trustees to more effectively govern colleges. [14] [13] These recommendations were published under the name, Consequential Boards: Adding Value Where It Matters Most. [15]
In 2016, AGB performed a study on shared governance and four principles that trustees should follow concerning shared governance. After the study, AGB released a statement reminding trustees of the importance of shared governance. [16]
In 2017, AGB published a report focused on campus culture and free speech. AGB called for campus leaders to listen to student concerns, know First Amendment rights and how they apply on campuses, and develop policies that make it clear that free speech aligns with an institution’s mission. [17]
In 2020, AGB launched its Justice, Diversity, Equity, and Inclusion (JDE&I) Initiative, recognizing the urgency for governing boards to examine and address systemic barriers in their own work, at all levels of the institution, and beyond the borders of the campus. [18] This work resulted in the release of the AGB Board of Directors Statement on Justice, Equity, and Inclusion. [18]
In 2021, AGB released a new statement, which focused on achieving justice, equity, and inclusion at all member institutions. [19] The association also published the Principles of Trusteeship, [20] and Policies, Practices, and Composition of Governing Boards of Colleges, Universities, and Institutionally Related Foundations, a report that builds on data that AGB has gathered since 1969. [21]
In early 2023, AGB organized the Council on Higher Education as a Strategic Asset, known as HESA. [22] The council plans to develop policy recommendations to advance higher education as a critical component of the United States’ ability to stay globally competitive. [22] [23]
AGB’s membership includes the governing boards of approximately 2,000 community colleges, public and private institutions, research universities, and liberal arts colleges. [4] [12] Combined, AGB membership includes approximately 40,000 higher education trustees and regents. [4] AGB has seven advisory councils for specific leadership roles and priority areas: presidents, board chairs, board professionals, finance committee chairs, foundation leaders, senior fellows, and student success. [24]
AGB provides leadership, counsel, and training resources for board members, organizational staff, policy makers, and others involved in the running of colleges and universities. [25] These resources aim to help members in the areas of fiduciary duties, [26] governance, [26] orientation and onboarding, [27] student success, [28] and conflicts of interest. [26] AGB developed self-paced orientation courses that cover subjects such as governance, fiduciary responsibilities, and board composition and culture. [29]
The AGB Institute is a joint venture between AGB, AGB Search, and Miami University. [30] The Institute selects participants from higher education institutions to participate in its leadership training. [30] [31] This includes symposiums, workshops, shadowing a sitting university president or chancellor, and attending the AGB National Conference on Trusteeship. [31]
AGB’s publication Higher Education Governing Bodies: An Introductory Guide for Members of College, University, and System Boards provides details on the “essential” responsibilities and fiduciary duties of governing boards. [32] The publication says that, “The board itself bears the fiduciary responsibility for the institution it governs,” and “while differences in institutional type may account for differences in how a board carries out its governance responsibilities, the responsibilities are essentially the same for all institutions.” [32] These responsibilities fall under the duties of care, loyalty, and obedience to the institution and its students, faculty, alumni, and community. [33]
Duty of Care: This duty generally requires officers and governing board members to carry out their responsibilities in good-faith and using a degree of diligence, care, and skill which prudent persons would reasonably exercise under similar circumstances in like positions. [33] [34] Accordingly, a board member must act in a manner that he or she reasonably believes to be in the best interests of the institution. [33] [34]
Duty of loyalty: The duty of loyalty requires officers and board members to act in good faith and in a manner that is reasonably believed to prioritize the interests of the institution rather than their own interests or the interests of another person or organization. [33] [34]
Duty of obedience: This is the duty of board members to ensure that the college or university is operating in furtherance of its stated purposes (as set forth in its governing documents) and is operating in compliance with the law. [33] [34] The board should also periodically re-evaluate its purposes and mission and must be prepared to amend or change them when it is necessary and appropriate to do so under the law and the institution’s governing documents. [33]
AGB states that, shared governance should align stakeholders on institutional direction by developing a common understanding of challenges, and should serve as a system of checks and balances that strengthen institutional operations. [35]
In the joint publication Collaborative Leadership for Higher Education Business Model Vitality from AGB, NACUBO, Baker Tilly, and the Council of Independent Colleges, primary author Stephen T. Golding outlines how institutional leadership can define expectations, clarify business goals and objectives, and prioritize the steps to position the institution to address challenging economic conditions. Through its service AGB Consulting, AGB provides help developing new business models. The company performs evaluations and diagnostic assessments, then develops strategies to address operational and financial challenges, and assists with implementation. [37]
Foundations traditionally help to finance special projects and initiatives; however, their role has shifted and now also includes working as a philanthropic and entrepreneurial partner to support their school’s basic business and operating model. [38] In 2016, the AGB Board of Directors issued a statement on the institution-foundation partnership. [39] The statement offers guidance on how both institutions and foundations can mitigate potential risks stemming from foundation activities, align foundation activities alongside university priorities, and fulfill fiduciary responsibility for the oversight of these organizations, which are typically 501(c)3 publicly supported charities. [39] Foundations traditionally help to finance special projects and initiatives; however, their role has shifted and now also includes working as a philanthropic and entrepreneurial partner to support their school’s basic business and operating model. Initial onboarding and ongoing education are critical to a board member’s understanding of their roles and responsibilities as a trustee. [27]
In 2021, AGB published the Board of Directors’ Statement on Justice, Equity, and Inclusion And Guidance for Implementation, calling on governing boards to examine and address barriers to justice, equity, and inclusion at the board level, across the institution, and in surrounding communities. [40] That year, AGB also established a Council for Student Success. [41] In 2022, AGB published the “Board Responsibility for Equitable Student Success” resource, supported by the Bill and Melinda Gates Foundation. [42] [43] AGB called on boards to take an active role in student success, paying special attention to issues of equity, inclusion, and belonging. [43]
AGB believes that board assessments or self-examinations help establish a clearer understanding of members’ primary roles and responsibilities, develop a consensus on objectives and plans to improve the board, and help clarify the performance expected by all board members. [44] These assessments should be completed annually. [44]
Board professionals guide and advise a board and president but are not a part of any decision making. They must be experts on procedures and institutional policies. [45] There are five common board professional roles:

Trustee is a legal term which, in its broadest sense, is a synonym for anyone in a position of trust and so can refer to any individual who holds property, authority, or a position of trust or responsibility for the benefit of another. A trustee can also be a person who is allowed to do certain tasks but not able to gain income. Although in the strictest sense of the term a trustee is the holder of property on behalf of a beneficiary, the more expansive sense encompasses persons who serve, for example, on the board of trustees of an institution that operates for a charity, for the benefit of the general public, or a person in the local government.
The State University System of Florida is a system of twelve public universities in the U.S. state of Florida. As of 2018, over 341,000 students were enrolled in Florida's state universities. Together with the Florida College System, which includes Florida's 28 community colleges and state colleges, it is part of Florida's system of public higher education. The system, headquartered in Tallahassee, is overseen by a chancellor and governed by the Florida Board of Governors.
The American Association of University Professors (AAUP) is an organization of professors and other academics in the United States. AAUP membership includes over 500 local campus chapters and 39 state organizations.
A provost is a senior academic administrator. At many institutions of higher education, the provost is the chief academic officer, a role that may be combined with being deputy to the chief executive officer. They may also be the chief executive officer of a university, of a branch campus of a university, or of a college within a university.
The California Community Colleges is a postsecondary education system in the U.S. state of California. The system includes the Board of Governors of the California Community Colleges and 73 community college districts. The districts currently operate 116 accredited colleges. The California Community Colleges is the largest system of higher education in the United States, and third largest system of higher education in the world, serving more than 1.8 million students.

An academic senate, sometimes termed faculty senate, academic board or simply senate, is a governing body in some universities and colleges, typically with responsibility for academic matters and primarily drawing its membership from the academic staff of the institution.
In the United States, a board often governs institutions of higher education, including private universities, state universities, and community colleges. In each US state, such boards may govern either the state university system, individual colleges and universities, or both. In general, they operate as a board of directors, and they vary by formal name, size, powers, and membership. In some states, members are appointed by the governor.
The American Council of Trustees and Alumni (ACTA) is an American non-profit organization whose stated mission is to "support liberal arts education, uphold high academic standards, safeguard the free exchange of ideas on campus, and ensure that the next generation receives a philosophically rich, high-quality college education at an affordable price." ACTA does so primarily by calling on trustees to take on a more assertive governing role. It is based in Washington, D.C., and its current president is Michael Poliakoff.
These organizations for higher education have a common purpose and mission for advocacy in numerous areas of both institutional management and the general public interest. The organizations have specific purpose for issues from faculty unionization to public policy research and service to institutions. Most are focused on the organization and governance of higher and tertiary education, but some are involved in service and research at all levels of education.
The Knight Commission on Intercollegiate Athletics, often referred to simply as the Knight Commission, is a panel of American academic, athletic and sports leaders, with an eye toward reform of college athletics, particularly in regard to emphasizing academic values and policies that ensure athletic programs operate within the educational missions of their universities.
Governance in higher education is the means by which institutions for higher education are formally organized and managed. Simply, university governance is the way in which universities are operated. Governing structures for higher education are highly differentiated throughout the world, but the different models nonetheless share a common heritage. Internationally, tertiary education includes private not-for-profit, private for-profit, and public institutions governed by differentiated structures of management.
The Oklahoma State Regents for Higher Education is the agency of the government of Oklahoma that serves as the governing body of the Oklahoma State System of Higher Education, which is the largest provider of higher education in the state of Oklahoma. The State System consists of all institutions of higher education in Oklahoma that are supported by direct legislative appropriations from the Oklahoma Legislature.
The Florida College System, previously the Florida Community College System, is a system of 28 public community colleges and state colleges in the U.S. state of Florida. In 2020–2021, enrollment consisted of 640,183 students. Together with the State University System of Florida, which consists of Florida's twelve public universities, the two systems control all public higher education in the state of Florida.
Student governments in the United States exist in both secondary and higher education. At the collegiate level, the most common name is Student Government, according to the American Student Government Association's database of all student governments throughout the United States. The next most common name is the student government association. Other names are student senate, associated students, or less commonly students' union. There was one instance of a government of the student body, at Iowa State University. At Yale University, the undergraduate student government is known as the Yale College Council. High school student governments usually are known as Student Council.
The Board of Regents for Higher Education (BOR) is a government body in the U.S. state of Connecticut that oversees the Connecticut State Colleges & Universities (CSCU). CSCU and the BOR were created on July 1, 2011, consolidating the governance of the state's twelve community colleges, four state universities, and Charter Oak State College. The BOR assumed the powers and responsibilities of the respective former Boards of Trustees and the Board for State Academic Awards; it also retains many responsibilities for setting statewide policy of the former Board of Governors for Higher Education.
Fund governance refers to a system of checks and balances and work performed by the governing body (board) of an investment fund to ensure that the fund is operated not only in accordance with law, but also in the best interests of the fund and its investors. The objective of fund governance is to uphold the regulatory principles commonly known as the four pillars of investor protection that are typically promulgated through the investment fund regulation applicable in the jurisdiction of the fund. These principles vary by jurisdiction and in the US, the 1940 Act generally ensure that: (i) The investment fund will be managed in accordance with the fund's investment objectives, (ii) The assets of the investment fund will be kept safe, (iii) When investors redeem they will get their pro rata share of the investment fund's assets, (iv) The investment fund will be managed for the benefit of the fund's shareholders and not its service providers.
Diversity, equity, and inclusion refers to organizational frameworks which seek to promote "the fair treatment and full participation of all people", particularly groups "who have historically been underrepresented or subject to discrimination" on the basis of identity or disability. These three notions together represent "three closely linked values" which organizations seek to institutionalize through DEI frameworks. Some frameworks, primarily in Britain, substitute the notion of "equity" with equality: equality, diversity, inclusion (EDI). Other variations include diversity, equity, inclusion and belonging (DEIB), justice, equity, diversity and inclusion, or diversity, equity, inclusion and access.
