Irish Takeover Panel

The Irish Takeover Panel is the statutory body responsible for monitoring and supervising takeovers and other relevant transactions in relevant companies in Ireland. [1] It was established by the Irish Takeover Panel Act 1997. [2] The Panel is designated as the competent Irish authority for the purpose of the Takeover Directive 2004/25/EC. It is incorporated as a company limited by guarantee. It makes Annual Reports to the Minister for Enterprise, Trade and Employment. [3]

Governance

The Members of the Panel are representative of bodies professionally involved in the securities markets and in the field of takeovers: the Consultative Committee of Accountancy Bodies – Ireland, the Law Society of Ireland, the Irish Association of Investment Managers, the Banking and Payments Federation Ireland, and the Irish Stock Exchange plc. Each of these bodies appoints a Director to the Board of the Panel, and may also appoint alternate Directors. The Governor of the Central Bank of Ireland appoints the Chairperson and Deputy Chairperson to the Board, currently Cian Ferriter S.C. (Chairperson) and Ann Fitzgerald (Deputy Chairperson). [4] [5]

Aishah Ndanusa AhmadCFA is a Nigerian accountant and finance professional. She is a former deputy governor of the Central Bank of Nigeria having been appointed on 6 October 2017, replacing Sarah Alade, who retired in March 2017. She was confirmed by the Nigerian Senate on 22 March 2018. On 6 December 2022, Ahmad was reappointed deputy governor for a second five-year term and subsequently confirmed by the Senate on 14 December 2022. However, on 15 September 2023, she was removed from office by President Bola Tinubu alongside three other deputy governors for alleged corporate governance failures at the Central Bank of Nigeria.

Sharon Donnery is an Irish economist and financial regulator who has served as a Deputy Governor of the Central Bank of Ireland since March 2016. She served as the Governor of the Central Bank of Ireland on an acting basis from June 2019 to August 2019, having occupied increasingly senior positions in economics, consumer protection and regulatory roles since joining the body in 1996. As of 1 July 2022 she is responsible for financial regulation in Ireland. The legislation underpinning the role of the Central Bank of Ireland sets out four statutory positions: Governor, Head of Central Banking, Head of Financial Regulation and Registrar of Credit Unions. As of July 2022, Donnery has the distinction of being the only person to have held all four positions, albeit that she occupied the Governor role on an acting basis.

Jeremy David Leibler is a Partner at Arnold Bloch Leibler and a member of the Australian Takeovers Panel. He has been President of the Zionist Federation of Australia, an elected representative roof body of the Australian Jewish Community since 2018. In 2023, Leibler was named by the Australian Financial Review as one of Australia's top 25 private capital dealmakers.
