Mitbestimmungsgesetz 1976 or the Codetermination Act 1976 is a German law that requires companies of over 2000 employees to have half the supervisory board of directors as representatives of workers, and just under half the votes.

Background

From 1922 to 1933, and again from 1951 Germany had had board level codetermination laws, inspired by collective agreements between worker unions and management. [1] The 1919 Weimar Constitution itself said that, “Works and staff are appointed to participate with equal rights together with the company in the regulation of wages and working conditions, as well as in the complete economic development of the producing powers.” [2] The coal and steel industry had required half worker and half shareholder seats on the company supervisory board, but outside these sectors, the Works Constitution Act 1952 merely required one third representation.

By 1976, and given the success of worker participation, the governing social-liberal coalition decided that this should be raised. The 1976 Act was passed on May 4 after long consultations and debates in Parliament (the Bundestag ). This law was a political compromise between the Social Democrats and FDP coalition members; it reconciled views of individual employee participation in decision-making with the less conservative view of collective codetermination of labor. [3] The 1976 law applies to all corporations with more than 2,000 employees; a similar law was passed in 1951 but only applied to coal and steel companies. It applies to all German capital companies, including public companies ( Aktiengesellschaft ), cooperatives ( eingetragene Genossenschaft ), private limited companies ( Gesellschaft mit beschränkter Haftung ) and partnerships ( Kommanditgesellschaft auf Aktien ) if they have over 2000 employees. Employees and national unions have equal representation on the supervisory board with the stockholders, but the board’s chairman must be a stockholder who has a tie-breaking vote. [5]

The principle is to have almost equal representation between employee representatives and shareholder representatives on the supervisory board ( Aufsichtsrat ). Germany company law has two levels of boards of directors. The supervisory board then elects a management board which leads the company. The head of the supervisory board is always a shareholder representative who has two votes in case of a deadlock. (Coal and steel industry companies' co-determination goes even further with full parity and a neutral tie-breaking member, instead) [4]

Under the Codetermination Act, the supervisory board must have 12, 16 or 20 members depending on the company's size. Two or three seats will usually be reserved for union representatives. the other seats will be workers, officials and appointees of other interest groups.

Companies with equal representation on their boards must have a dedicated management board position for labor affairs. [6] Codetermination allows employees and not only unions to influence the operations of firms and their surplus. [6]

Effects

While this law was in some ways an extension of the codetermination law of 1951, it differed in key ways. Unlike the 1951 law, however, employees choose their representatives rather than being chosen by the national union; this had the effect of weakening union power. [3] However, employees can use codetermination to protect themselves against wage cuts, layoffs and restructuring, and for this reason, it is believed that wage structure in Germany is remarkably stable. [6]

Developments

Former Chancellor Gerhard Schröder established a Commission on Codetermination (Mitbestimmungskommission), which in 2005, came to no conclusion about possible reforms of the law. Different members disagreed with one side wanting to reduce worker influence and the other side increase it. [7] [ irrelevant citation ]

In corporate governance, codetermination is a practice where workers of an enterprise have the right to vote for representatives on the board of directors in a company. It also refers to staff having binding rights in work councils on issues in their workplace. The first laws requiring worker voting rights include the Oxford University Act 1854 and the Port of London Act 1908 in the United Kingdom, the Act on Manufacturing Companies of 1919 in Massachusetts in the United States, and the Supervisory Board Act 1922 in Germany, which codified collective agreement from 1918 and expanded it in the 1976 Mitbestimmungsgesetz.

The duty of fair representation is incumbent upon Canadian and U.S. labor unions that are the exclusive bargaining representative of workers in a particular group. It is the obligation to represent all employees fairly, in good faith, and without discrimination.

Codetermination in Germany is a concept that involves the right of workers to participate in management of the companies they work for. Known as Mitbestimmung, the modern law on codetermination is found principally in the Mitbestimmungsgesetz of 1976. The law allows workers to elect representatives for almost half of the supervisory board of directors. The legislation is separate from the main German company law Act for public companies, the Aktiengesetz. It applies to public and private companies, so long as there are over 2,000 employees. For companies with 500–2,000 employees, one third of the supervisory board must be elected.

Control Council Law No 22, Works Councils was a German labour law drafted by the Allied Control Council to enable the formation of work councils in rebuilding the economy and society after World War II. Work councils, which employees of a firm organised and elected democratically to determine workplace issues, had existed in Germany in various forms since 1889. They had been abolished by Adolf Hitler's Nazi party. The new Control Council Law No 22 provided a template for democratic German trade unions to re-organise through collective agreements with employers.

Worker representation on corporate boards of directors, also known as board-level employee representation (BLER) refers to the right of workers to vote for representatives on a board of directors in corporate law. In 2018, a majority of Organisation for Economic Co-operation and Development, and a majority of countries in the European Union, had some form of law guaranteeing the right of workers to vote for board representation. Together with a right to elect work councils, this is often called "codetermination".

The Reward Work Act of 2018 is a proposed United States Act of Congress to ban unjustified stock buy-backs, and to require that every listed company enable employees to elect one-third of the board of directors. The Bill was sponsored initially by Senators Tammy Baldwin, Elizabeth Warren and Brian Schatz in March 2018, joined in April 2018 by Kirsten Gillibrand, and in November 2018 by Bernie Sanders. It was sponsored in the House of Representatives in June 2018 by Keith Ellison and Ro Khanna.

The Works Constitution Act, abbreviated BetrVG, is a German federal law governing the right of employees to form a works council.
