Seminis is a developer, grower, and marketer of fruit and vegetable seeds. Seminis' hybrids claim to improve nutrition, boost crop yields, limit spoilage and reduce the need for chemicals. Their retail line includes over 3,500 seed varieties.

History

Seminis was established in 1994 by Alfonso Romo under his Savia Group, a part of the Empresas La Moderna S.A. conglomerate, to consolidate leading companies in the fragmented fruit and vegetable seed industry. [1] The process was realized by takeovers of such companies (mainly US origin) as: Asgrow, Petoseed, Royal Sluis, Bruinsma Seeds, and Genecorp. [2] [3]

In 1996, Romo sold the field crop business of Seminis to Monsanto for $240 million. [4]

In 1999, Savia took Seminis public, in which Savia retained control of the company. [5]

In September 2003, Savia took Seminis off the public markets for approximately $650 million via an investment of approximately $222 million from Fox Paine & Company and additional cash and stock from Savia and related entities. [6] [7] [8]

On March 23, 2005, Monsanto Company announced that it had completed its acquisition of Seminis. According to the press release announcing the deal, Monsanto paid $1.4 billion in cash and assumed debt, plus a performance-based payment of up to $125 million payable by 2007. [9]

In 2018, Bayer acquired Monsanto and all of its seed brands, including Seminis. [10]

A leveraged buyout (LBO) is one company's acquisition of another company using a significant amount of borrowed money (leverage) to meet the cost of acquisition. The assets of the company being acquired are often used as collateral for the loans, along with the assets of the acquiring company. The use of debt, which normally has a lower cost of capital than equity, serves to reduce the overall cost of financing the acquisition. DNA Plant Technology was an early pioneer in applying transgenic biotechnology to problems in agriculture. The company was founded in Cinnamonson, New Jersey, and moved to California in 1994. Some of the plants and products they developed included vine sweet mini peppers, the Fish tomato and Y1 tobacco. In 1996 the company merged with the Mexican conglomerate Empresas La Moderna, through its Bionovo subsidiary. In 2002, Bionova shut down DNA Plant Technology.

Ceres, Inc. was a biotechnology company based in Thousand Oaks, California, United States that operated from 1996 to 2016, when it was acquired by Land O'Lakes. The company was a spinoff from UCLA researchers. Its ultimate commercial products were seeds of genetically modified crops used for biofuel production. In addition to its operations in the United States, Ceres had a subsidiary in Brazil called Ceres Sementes do Brasil.

Monsanto was involved in several high-profile lawsuits, as both plaintiff and defendant. It had been defendant in a number of lawsuits over health and environmental issues related to its products. Monsanto also made frequent use of the courts to defend its patents, particularly in the area of agricultural biotechnology.

Allergan plc is an American, Irish-domiciled pharmaceutical company that acquires, develops, manufactures and markets brand name drugs and medical devices in the areas of medical aesthetics, eye care, central nervous system, and gastroenterology. The company is the maker of Botox.
