History

The company was formed from a reorganization of Frontier Airlines on April 3, 2006. Frontier created Frontier Airlines Holdings, Inc., a holding company incorporated in Delaware to take advantage of favorable tax law of "Delaware General Corporation Law" in that state. The new corporate headquarters was located in Colorado. [1]

On September 6, 2006, Frontier Holdings announced that a new division known as Lynx Aviation, would operate 10 Bombardier Q400 aircraft beginning in May 2007 as Frontier Express. [2] Service with the Q400's has been rescheduled to begin on October 1, 2007. The 'Lynx' name plays off of the tail pictures of its planes, specifically Larry the Lynx, and the fact that it "links" smaller airports to the main Denver hub. [2] One reason for the change is to help reduce costs; the company hopes the change will allow Frontier Airlines to cut costs on routes 650 miles or shorter by 30%, allowing entry into new markets. [2] by paying employees less.

On April 11, 2008, Frontier Airlines Holdings announced that it and all of its subsidiaries has filed for bankruptcy due to its credit card processor withholding payment from ticket sales. [3]

On August 4, 2008, Frontier Airlines Holdings, Inc. announced it was moving forward with an alternate transaction for post-petition debtor-in-possession (DIP) financing. Republic Airways Holdings, Inc., Credit Suisse Securities (through its affiliates), and AQR Capital offered Frontier up to $75 million in DIP financing, with an immediate firm commitment and funding of $30 million. This new DIP facility provides Frontier with lower financing costs, less restrictive covenants and greater flexibility to pursue strategic opportunities without being constrained by more restrictive DIP provisions. The alternate DIP facility is subject to bankruptcy court approval and to various conditions. [4]

The Bankruptcy Court confirmed Frontier's reorganization plan on September 10, 2009, [5] and Frontier emerged from Chapter 11 on October 1, 2009 as a wholly owned subsidiary of Republic Airways Holdings. [6]

It is headquartered in Indianapolis, Indiana. Its call sign "Brickyard" is derived from the nickname of the Indianapolis Motor Speedway.

AMR Corporation

AMR Corporation is the former name of American Airlines Group, an airline holding company based in Fort Worth, Texas, which was the parent company of American Airlines, American Eagle Airlines, AmericanConnection and Executive Airlines. AMR filed for Chapter 11 bankruptcy in November 2011, and, coinciding with their exit from Chapter 11, acquired US Airways Group on December 9, 2013 and changed their name to American Airlines Group, Inc.

US Airways Group

US Airways Group Inc. was an airline holding company based in Tempe, Arizona. US Airways Group operated US Airways, along with its subsidiaries PSA Airlines, Inc. and Piedmont Airlines, Inc., which are wholly owned but marketed under the branding of US Airways Express. It merged with America West Holdings Corporation, parent of America West Airlines, in 2005, and the combined company adopted the better-known US Airways name; the two airlines' operating certificates merged in 2007. It also operates additional companies that provide associated services. ACE Aviation Holdings, the Canadian parent of Air Canada retained a roughly 6.1% investment stake in US Airways Group. FLYi, Inc., previously known as Atlantic Coast Airlines Holdings, Inc., was a Delaware airline holding company based in the Dulles area of unincorporated Loudoun County, Virginia. Prior to filing for Chapter 11 Bankruptcy, the company operated Independence Air.

UAL Corporation is the former name of United Airlines Holdings, an airline holding company, incorporated in Delaware with headquarters in Chicago, Illinois. UAL held a 100 percent controlling interest in United Airlines, Inc., one of the world's largest air carriers, and is a founding member of the Star Alliance. It was announced on May 3, 2010 that UAL Corporation and Continental Airlines, Inc. would pursue a merger pending government approval. UAL Corporation would acquire Continental Airlines, Inc. and change its name to United Continental Holdings (UCH). On October 1, 2010, UCH, formerly UAL Corporation, announced completion of the merger. Republic Airways Holdings, Inc. is an American airline holding corporation based in Indianapolis, Indiana, that owns Republic Airways, an American regional airline operating in the United States, and LIFT Academy, the only flight training academy owned by an airline in the United States.

Global Aviation Holdings Inc. (Global) was the parent company of World Airways, Inc. (World), and North American Airlines, Inc., headquartered in Peachtree City, Georgia, US. Its airline holdings included World and North American along with ATA Airlines until the parent company renamed from Global Aero Logistics to Global Aviation Holdings. Songbird Airways Airline of the United States

Songbird Airways established as Sky King is a charter airline based in Miami, Florida. Sky King was founded in July 1990 to fly for the NBA's Sacramento Kings. Sky King operated flights from Florida to Cuba on behalf of Customer Service Providers (CSPs). Sky King also conducted flights of deportees to undisclosed destinations on behalf of U.S. Immigration and Customs Enforcement (ICE). In the past, the airline provided charter service to sports teams and businesses using Boeing 737 aircraft sporting various seat configurations. The airline filed for Chapter 11 bankruptcy protection on March 9, 2010, after it was unable to meet the payment demands of one of its largest creditors, fuel supplier Mercury Air Group. It filed for bankruptcy again in 2012.

Debtor-in-possession financing or DIP financing is a special form of financing provided for companies in financial distress, typically during restructuring under corporate bankruptcy law. Usually, this debt is considered senior to all other debt, equity, and any other securities issued by a company — violating any absolute priority rule by placing the new financing ahead of a company's existing debts for payment.

Lynx Aviation

Lynx Aviation, Inc. was a regional airline based in Denver, Colorado, United States. The airline began as a sister company to, and operated feeder service for, Frontier Airlines. The Lynx name plays off of the tail pictures of its planes, specifically Larry the Lynx, and the fact that it "links" smaller airports to the main Denver hub of Frontier Airlines. All flights operated by Lynx Aviation were sold and marketed as "Frontier Airlines operated by Lynx Aviation."

The 2009 General Motors Chapter 11 sale of the assets of automobile manufacturer General Motors and some of its subsidiaries was implemented through Chapter 11, Title 11, United States Code in the United States bankruptcy court for the Southern District of New York. The United States government-endorsed sale enabled the NGMCO Inc. to purchase the continuing operational assets of the old GM. Normal operations, including employee compensation, warranties, and other customer service were uninterrupted during the bankruptcy proceedings. Operations outside of the United States were not included in the court filing.

Pre-packaged insolvency is a kind of bankruptcy procedure, where a restructure plan is agreed in advance of a company declaring its insolvency. In the United States pre-packs are often used in a Chapter 11 filing. In the United Kingdom, pre-packs have become popular since the Enterprise Act 2002, which has made administration the dominant insolvency procedure. Such arrangements are also available in Canada under the Companies' Creditors Arrangements Act.

American Airlines Group Inc. is an American publicly traded airline holding company headquartered in Fort Worth, Texas. It was formed on December 9, 2013, by the merger of AMR Corporation, the parent company of American Airlines, and US Airways Group, the parent company of US Airways. Integration was completed when the Federal Aviation Administration granted a single operating certificate for both carriers on April 8, 2015, and all flights now operate under the American Airlines brand.
