Karen Lynn Valihura [1] (born May 16,1963) is an American lawyer who serves as a justice of the Delaware Supreme Court. [2] She was appointed on June 6,2014. Prior to her appointment,Valihura was a partner at Skadden,Arps,Slate,Meagher &Flom,LLP. [3]
In October 2018,Justice Valihura dissented when the majority found that the business judgment rule protected a controlling shareholder even though he did not offer minority shareholder protections until after his initial squeeze-out bid. [4] [5]
The Delaware General Corporation Law,officially the General Corporation Law of the State of Delaware,is the statute of the Delaware Code that governs corporate law in the U.S. state of Delaware. The statute was adopted in 1899. Since the 1919 anti-corporation reforms in New Jersey under the governorship of Woodrow Wilson,Delaware has become the most prevalent jurisdiction in United States corporate law and has been described as the de facto corporate capital of the United States.

John Paul Stevens was an American lawyer and jurist who served as an associate justice of the Supreme Court of the United States from 1975 to 2010. At the time of his retirement,he was the second-oldest justice in the history of the U.S. Supreme Court and the third-longest-serving justice. At the time of his death in 2019 at age 99,he was the longest-lived Supreme Court justice ever. His long tenure saw him write for the Court on most issues of American law,including civil liberties,the death penalty,government action,and intellectual property. Despite being a registered Republican who throughout his life identified as a conservative,Stevens was considered to have been on the liberal side of the Court at the time of his retirement.
