The Institute of Company Secretaries of India (ICSI) is a national professional body in India under the ownership of Ministry of Corporate Affairs, Government of India with the objective of promoting, regulating and developing the profession of company secretaries in India. [1] It is headquartered in New Delhi, has four regional offices at New Delhi, Chennai, Kolkata and Mumbai, [2] and has 70 chapters around the country. [3]

A person can apply for membership by passing all three levels of examinations: CSEET (earlier Foundation), Executive and Professional prescribed by ICSI, and completing Short term and Long term practical training. [4] The members of the ICSI are highly qualified Professionals playing a key role in ensuring compliance with the laws and promoting sound Corporate Governance practices in Indian Corporates.

Role of Company Secretary

As per Section 2(51) of the Companies Act 2013, Company Secretaries are a company's Key Managerial Personnel (KMP). [5] Other KMPs in a company include the Chief Executive Officer, the Managing Director, the Whole-time Director, the Chief Financial Officer, and such other officers designated by the Board as KMP but are not more than one level below the directors in whole-time employment. [5] They often hold the position of a compliance officer and play a crucial role in ensuring the efficient administration of the company. Among others, they also ensure that the company complies with secretarial standards. [6]

A Company Secretary in India is a qualified secretary of the Institute of Company Secretaries of India (ICSI). Prerequisites for membership are successful completions of the ISCI’s theory and practical training exams. Company Secretaries are required for every Indian Company listing on the stock exchange, public or private, with share capitals of Rs 10 crores or higher. As a qualified professional, a company secretary is required to perform the duties enumerated by the ICSI for organisations engaged in manufacturing or service for ensuring proper compliance with legal and taxation-related controls to be followed through the course of its operations. These policies clear any ambiguities for the organisations in the maintenance of their book of accounts. The ICSI has +70000 Company Secretaries. Their roles include facilitating meetings of the Board of Directors, providing guidance on formation, mergers and liquidations and representing the company in arbitration or the Company Law Board, among other tasks.
