Lotus Dev. Corp. v. Borland Int'l, Inc., 516 U.S. 233 (1996), is a United States Supreme Court case that tested the extent of software copyright. [1] The lower court had held that copyright does not extend to the user interface of a computer program, such as the text and layout of menus. Due to the recusal of one justice, the Supreme Court decided the case with an eight-member bench split evenly, leaving the lower court's decision affirmed but setting no national precedent.
Borland released a spreadsheet product, Quattro Pro, with a compatibility mode in which its menu imitated Lotus 1-2-3, a competing product. None of the source code or machine code that generated the menus was copied, but the names of the commands and the organization of those commands into a hierarchy were virtually identical. [2]
Quattro Pro also contained a "Key Reader" feature, which allowed it to execute Lotus 1-2-3 keyboard macros. To support this feature, Quattro Pro's code contained a copy of Lotus's menu hierarchy in which each command was represented by its first letter instead of its entire name.
Borland CEO Philippe Kahn took the case to the software development community arguing that Lotus's position would stifle innovation and damage the future of software development. The vast majority of the software development community supported Borland's position.[ citation needed ]
Lotus filed suit in the United States District Court for the District of Massachusetts on July 2, 1990, claiming that the structure of the menus was copyrighted by Lotus. The district court ruled that Borland had infringed Lotus's copyright. The ruling was based in part on the fact that an alternative satisfactory menu structure could be designed. For example, the "Quit" command could be changed to "Exit". [3]
Borland immediately removed the Lotus-based menu system from Quattro Pro, but retained support for its "Key Reader" feature, and Lotus filed a supplemental claim against this feature. A district court held that this also constituted copyright infringement.
Borland appealed the decision of the district court arguing that the menu hierarchy is a "method of operation", which is not copyrightable according to 17 U.S.C. § 102(b).
The United States Court of Appeals for the First Circuit reversed the district court's decision, agreeing with Borland's legal theory that considered the menu hierarchy a "method of operation". The court agreed with the district court that an alternative menu hierarchy could be devised, but argued that despite this, the menu hierarchy is an uncopyrightable "method of operation". [4]
We hold that the Lotus menu command hierarchy is an uncopyrightable “method of operation.” The Lotus menu command hierarchy provides the means by which users control and operate Lotus 1–2–3. If users wish to copy material, for example, they use the “Copy” command. If users wish to print material, they use the “Print” command. Users must use the command terms to tell the computer what to do. Without the menu command hierarchy, users would not be able to access and control, or indeed make use of, Lotus 1–2–3's functional capabilities. [5]
The court made an analogy between the menu hierarchy and the arrangement of buttons on a VCR. The buttons are used to control the playback of a video tape, just as the menu commands are used to control the operations of Lotus 1-2-3. Since the buttons are essential to operating the VCR, their layout cannot be copyrighted. Likewise, the menu commands, including the textual labels and the hierarchical layout, are essential to operating Lotus 1-2-3. [6]
The court also considered the impact of their decision on users of software. If menu hierarchies were copyrightable, users would be required to learn how to perform the same operation in a different way for every program, which the court finds "absurd". Additionally, all macros would have to be re-written for each different program, which places an undue burden on users. [7]
Judge Michael Boudin wrote a concurring opinion for this case. In this opinion, he discusses the costs and benefits of copyright protection, as well as the potential similarity of software copyright protection to patent protection. He argues that software is different from creative works, which makes it difficult to apply copyright law to software.
His opinion also considers the theory that Borland's use of the Lotus menu is "privileged". That is, because Borland copied the menu for a legitimate purpose of compatibility, its use should be allowed. This decision, if issued by the majority of the court, would have been narrower in scope than the "method of operations" decision. Copying a menu hierarchy would be allowed in some circumstances, and disallowed in others. [8]
Lotus petitioned the United States Supreme Court for a writ of certiorari. In a per curiam opinion, the Supreme Court affirmed the circuit court's judgment due to an evenly divided court, with Justice Stevens recusing. [1] Because the Court split evenly, it affirmed the First Circuit's decision without discussion and did not establish any national precedent on the copyright issue. Lotus's petition for a rehearing by the full court was denied. By the time the lawsuit ended, Borland had sold Quattro Pro to Novell, and Microsoft's Excel spreadsheet had emerged as the main challenger to Lotus 1-2-3.
The Lotus decision establishes a distinction in copyright law between the interface of a software product and its implementation. The implementation is subject to copyright. The public interface may also be subject to copyright to the extent that it contains expression (for example, the appearance of an icon). However, the set of available operations and the mechanics of how they are activated are not copyrightable. Lotus v. Borland has been used as a lens through which to view the controversial case in Oracle America, Inc. v. Google, Inc. , dealing with the copyrightability of software application programming interfaces (APIs) and interoperability of software. Software APIs are designed to allow developers to insure compatibility, but should APIs be found to be copyrightable, that could drastically affect the development of software, as the threat of litigation for building interoperability (a core feature of computing, as it has developed over the decades of worldwide use) would present a chilling effect and coerce the establishment of walled gardens around islands of mutually-incompatible software ecosystems, causing millions of man-hours to be lost in re-implementation and quality assurance testing of the same software across multiple concurrent systems, leading to divergent software development paths and a drastically increased attack surface for potential illicit exploitation. Borland Software Corporation was a computing technology company founded in 1983 by Niels Jensen, Ole Henriksen, Mogens Glad, and Philippe Kahn. Its main business was developing and selling software development and software deployment products. Borland was first headquartered in Scotts Valley, California, then in Cupertino, California, and then in Austin, Texas. In 2009, the company became a full subsidiary of the British firm Micro Focus International plc. In 2023, Micro Focus was acquired by Canadian firm OpenText, which later absorbed Borland's portfolio into its application delivery management division.
Fair use is a doctrine in United States law that permits limited use of copyrighted material without having to first acquire permission from the copyright holder. Fair use is one of the limitations to copyright intended to balance the interests of copyright holders with the public interest in the wider distribution and use of creative works by allowing as a defense to copyright infringement claims certain limited uses that might otherwise be considered infringement. The U.S. "fair use doctrine" is generally broader than the "fair dealing" rights known in most countries that inherited English Common Law. The fair use right is a general exception that applies to all different kinds of uses with all types of works. In the U.S., fair use right/exception is based on a flexible proportionality test that examines the purpose of the use, the amount used, and the impact on the market of the original work.
Quattro Pro is a spreadsheet program developed by Borland and now sold by Alludo, most often as part of Alludo's WordPerfect Office suite.
Grokster Ltd. was a privately owned software company based in Nevis, West Indies that created the Grokster peer-to-peer file-sharing client in 2001 that used the FastTrack protocol. Grokster Ltd. was rendered extinct in late 2005 by the United States Supreme Court's decision in MGM Studios, Inc. v. Grokster, Ltd. The court ruled against Grokster's peer-to-peer file sharing program for computers running the Microsoft Windows operating system, effectively forcing the company to cease operations.

Apple Computer, Inc. v. Microsoft Corporation, 35 F.3d 1435, was a copyright infringement lawsuit in which Apple Computer, Inc. sought to prevent Microsoft and Hewlett-Packard from using visual graphical user interface (GUI) elements that were similar to those in Apple's Lisa and Macintosh operating systems. The court ruled that, "Apple cannot get patent-like protection for the idea of a graphical user interface, or the idea of a desktop metaphor [under copyright law]...". In the midst of the Apple v. Microsoft lawsuit, Xerox also sued Apple alleging that Mac's GUI was heavily based on Xerox's. The district court dismissed Xerox's claims without addressing whether Apple's GUI infringed Xerox's. Apple lost all claims in the Microsoft suit except for the ruling that the trash can icon and folder icons from Hewlett-Packard's NewWave windows application were infringing. The lawsuit was filed in 1988 and lasted four years; the decision was affirmed on appeal in 1994, and Apple's appeal to the U.S. Supreme Court was denied.
Software copyright is the application of copyright in law to machine-readable software. While many of the legal principles and policy debates concerning software copyright have close parallels in other domains of copyright law, there are a number of distinctive issues that arise with software. This article primarily focuses on topics particular to software.
MGM Studios, Inc. v. Grokster, Ltd., 545 U.S. 913 (2005), is a United States Supreme Court decision in which the Court ruled unanimously that the defendants, peer-to-peer file sharing companies Grokster and Streamcast, could be held liable for inducing copyright infringement by users of their file sharing software. The plaintiffs were a consortium of 28 entertainment companies, led by Metro-Goldwyn-Mayer studios.
In re Aimster Copyright Litigation, 334 F.3d 643, was a case in which the United States Court of Appeals for the Seventh Circuit addressed copyright infringement claims brought against Aimster, concluding that a preliminary injunction against the file-sharing service was appropriate because the copyright owners were likely to prevail on their claims of contributory infringement, and that the services could have non-infringing users was insufficient reason to reverse the district court's decision. The appellate court also noted that the defendant could have limited the quantity of the infringements if it had eliminated an encryption system feature, and if it had monitored the use of its systems. This made it so that the defense did not fall within the safe harbor of 17 U.S.C. § 512(i). and could not be used as an excuse to not know about the infringement. In addition, the court decided that the harm done to the plaintiff was irreparable and outweighed any harm to the defendant created by the injunction.
Paperback Software International Ltd. was a software company founded in 1983 by Adam Osborne to manufacture discount software such as word processor Paperback Writer and related spell checker Paperback Speller, spreadsheet VP-Planner, database VP-Info, and the VP-Expert artificial intelligence software. VP-Expert was developed by Brian Sawyer The company was headquartered in Berkeley, California.
Vault Corporation v Quaid Software Ltd. 847 F.2d 255 is a case heard by the United States Court of Appeals for the Fifth Circuit that tested the extent of software copyright. The court held that making RAM copies as an essential step in utilizing software was permissible under §117 of the Copyright Act even if they are used for a purpose that the copyright holder did not intend. It also applied the "substantial noninfringing uses" test from Sony Corp. of America v. Universal City Studios, Inc. to hold that Quaid's software, which defeated Vault's copy protection mechanism, did not make Quaid liable for contributory infringement. It held that Quaid's software was not a derivative work of Vault's software, despite having approximately 30 characters of source code in common. Finally, it held that the Louisiana Software License Enforcement Act clause permitting a copyright holder to prohibit software decompilation or disassembly was preempted by the Copyright Act, and was therefore unenforceable.
Sony Corp. of America v. Universal City Studios, Inc., 464 U.S. 417 (1984), also known as the "Betamax case", is a decision by the Supreme Court of the United States which ruled that the making of individual copies of complete television shows for purposes of time shifting does not constitute copyright infringement, but can instead be defended as fair use. The court also ruled that the manufacturers of home video recording devices, such as Betamax or other VCRs, cannot be liable for contributory infringement. The case was a boon to the home video market, as it created a legal safe harbor for the technology.
Vernor v. Autodesk, Inc. was a case in the United States District Court for the Western District of Washington regarding the applicability of the first-sale doctrine to software sold under the terms of so-called "shrinkwrap licensing." The court held that when the transfer of software to the purchaser materially resembled a sale it was, in fact, a "sale with restrictions on use" giving rise to a right to resell the copy under the first-sale doctrine. As such, Autodesk could not pursue an action for copyright infringement against Vernor, who sought to resell used versions of its software on eBay. The decision was appealed to the United States Court of Appeals for the Ninth Circuit, which issued a decision on September 10, 2010, reversing the first-sale doctrine ruling and remanding for further proceedings on the misuse of copyright claim. The Ninth Circuit's decision asserted that its ruling was compelled by Ninth Circuit precedent, but observed that the policy considerations involved in the case might affect motion pictures and libraries as well as sales of used software.
Cartoon Network, LP v. CSC Holdings, Inc., 536 F.3d 121, was a United States Court of Appeals for the Second Circuit decision regarding copyright infringement in the context of DVR systems operated by cable television service providers. It is notable for partially overturning the Ninth Circuit precedent MAI Systems Corp. v. Peak Computer, Inc., regarding whether a momentary data stream is a "copy" per copyright law.
Bowers v. Baystate Technologies, 320 F.3d 1317, was a U.S. Court of Appeals Federal Circuit case involving Harold L. Bowers and Baystate Technologies over patent infringement, copyright infringement, and breach of contract. In the case, the court found that Baystate had breached their contract by reverse engineering Bower's program, something expressly prohibited by a shrink wrap license that Baystate entered into upon purchasing a copy of Bower's software. This case is notable for establishing that license agreements can preempt fair use rights as well as expand the rights of copyright holders beyond those codified in US federal law.
Copyright protection is limited to the certain subject matter in Canada. Generally, every original literary, dramatic, musical, and artistic work is protected under copyright law. Ideas and facts are not copyrightable, subject to a few exceptions.
Structure, sequence and organization (SSO) is a term used in the United States to define a basis for comparing one software work to another in order to determine if copying has occurred that infringes on copyright, even when the second work is not a literal copy of the first. The term was introduced in the case of Whelan v. Jaslow in 1986. The method of comparing the SSO of two software products has since evolved in attempts to avoid the extremes of over-protection and under-protection, both of which are considered to discourage innovation. More recently, the concept has been used in Oracle America, Inc. v. Google, Inc.
Google LLC v. Oracle America, Inc., 593 U.S. ___ (2021), was a U.S. Supreme Court decision related to the nature of computer code and copyright law. The dispute centered on the use of parts of the Java programming language's application programming interfaces (APIs) and about 11,000 lines of source code, which are owned by Oracle, within early versions of the Android operating system by Google. Google has since transitioned Android to a copyright-unburdened engine without the source code, and has admitted to using the APIs but claimed this was within fair use.
Veeck v. Southern Bldg. Code Congress Int'l, Inc., 293 F.3d 791, was a 2002 en banc 9-6 decision of the United States Court of Appeals for the Fifth Circuit, about the scope of copyright protection for building codes and by implication other privately drafted laws adopted by states and municipal governments. A three-fifths majority of the court's fifteen judges held that copyright protection no longer applied to model codes once they were enacted into law.
