Marconi Electronic Systems (MES), or GEC-Marconi as it was until 1998, was the defence arm of General Electric Company (GEC). It was demerged from GEC and bought by British Aerospace (BAe) on 30 November 1999 to form BAE Systems. GEC then renamed itself Marconi plc.
MES exists today as BAE Systems Electronics Limited, a subsidiary of BAE Systems, but the assets were rearranged elsewhere within that company. MES-related businesses include BAE Systems Submarine Solutions, BAE Systems Surface Ships, BAE Systems Insyte and Selex ES (now a part of Leonardo).
The Marconi Company had been formed by Guglielmo Marconi in 1897 in Britain, originally under the name of The Wireless Telegraph & Signal Company. [1] Following GEC's acquisition of Marconi as part of English Electric in 1968, the Marconi brand was used for its defence businesses, e.g. Marconi Space & Defence Systems (MSDS), Marconi Underwater Systems Ltd (MUSL).
When it was bought by General Electric, MES represented the pinnacle of GEC's defence businesses which had a heritage of almost 100 years. GEC's history of military products dates back to World War I with its contribution to the war effort then including radios and bulbs. World War II consolidated this position with the company involved in many important technological advances, most notably radar.
Between 1945 and GEC's demerger of its defence business in 1999, the company became a major defence contractor. GEC's major defence related acquisitions included Associated Electrical Industries in 1967, English Electric Company (including Marconi as a subsidiary) in 1968, Yarrow Shipbuilders in 1985, parts of Ferranti's defence business in 1990, Vickers Shipbuilding and Engineering in 1995 and Kvaerner Govan in 1999. In June 1998, MES acquired Tracor, a major American defence contractor, for US$1.4 billion.
The 1997 merger of American corporations Boeing and McDonnell Douglas, which followed the forming of Lockheed Martin, the world's largest defence contractor in 1995, increased the pressure on European defence companies to consolidate. In June 1997, British Aerospace Defence managing director John Weston commented "Europe... is supporting three times the number of contractors on less than half the budget of the U.S.". [2] European governments wished to see the merger of their defence manufacturers into a single entity, a European Aerospace and Defence Company. [3]
As early as 1995, British Aerospace and the German aerospace and defence company DaimlerChrysler Aerospace (DASA) were said to be keen to create a transnational aerospace and defence company. [4] Merger discussions began between British Aerospace and DASA in July 1998. A merger was agreed between British Aerospace chairman Richard Evans and DASA CEO Jürgen Schrempp in December 1998. [5]
GEC was also under pressure to participate in defence industry consolidation. Reporting the appointment of George Simpson as GEC managing director in 1996, The Independent had said "some analysts believe that Mr Simpson's inside knowledge of BAe, a long-rumoured GEC bid target, was a key to his appointment. GEC favours forging a national "champion" defence group with BAe to compete with the giant US organisations". [6] When GEC put MES up for sale on 22 December 1998, BAE abandoned the DASA merger in favour of purchasing its British rival. The merger of British Aerospace and MES was announced on 19 January 1999. [7] Evans stated that in 2004 that his fear was that an American defence contractor would acquire MES and challenge both British Aerospace and DASA. [5] The merger created a vertically integrated company which The Scotsman described as "[a combination of British Aerospace's] contracting and platform-building skills with Marconi's coveted electronics systems capability". [8] for example combining the manufacturer of the Eurofighter with the company that provided many of the aircraft's electronic systems; British Aerospace was MES' largest customer. [9] In contrast, DASA's response to the breakdown of the merger discussion was to merge with Aérospatiale to create the European Aeronautic Defence and Space Company (EADS), a horizontal integration. EADS has since considered a merger with Thales to create a "fully rounded" company. [10]
While MES was responsible for the majority of GEC's defence sales other GEC companies achieved defence related sales, principally GEC Alsthom, GEC-Plessey Telecommunications (GPT) and GEC Plessey Semiconductors.

The Marconi Company was a British telecommunications and engineering company that did business under that name from 1963 to 1987. Its roots were in the Wireless Telegraph & Signal Company founded by Italian inventor Guglielmo Marconi in 1897, which underwent several changes in name after mergers and acquisitions. The company was a pioneer of wireless long distance communication and mass media broadcasting, eventually becoming one of the UK's most successful manufacturing companies. In 1999, its defence equipment manufacturing division, Marconi Electronic Systems, merged with British Aerospace (BAe) to form BAE Systems. In 2006, financial difficulties led to the collapse of the remaining company, with the bulk of the business acquired by the Swedish telecommunications company, Ericsson.
Siemens Plessey was the name given to the Plessey assets acquired by Siemens in 1989. Today most of these units are part of BAE Systems while some units are now part of EADS.
Marconi Communications, the former telecommunications arm of Britain's General Electric Company plc (GEC), was founded in August 1998 through the amalgamation of GEC Plessey Telecommunications (GPT) with other GEC subsidiaries: Marconi SpA, GEC Hong Kong, and ATC South Africa.
GEC Plessey Telecommunications (GPT) was a British manufacturer of telecommunications equipment, notably the System X telephone exchange. The company was founded in 1988 as a joint venture between GEC and the British electronics, defence and telecommunications company Plessey. The next year, after a joint holding company of GEC and the German conglomerate Siemens acquired Plessey, GPT was converted into a 60/40 GEC/Siemens joint venture. The GPT name ceased to be used in the mid-1990s, and in 1998 the company was amalgamated into Siemens Communications.
Tracor, Inc. was a major North American defense electronics contractor which was acquired by Marconi Electronic Systems (MES), a subsidiary of General Electric Company plc, in 1998. Following the purchase of MES by British Aerospace in November 1999 to form BAE Systems, Tracor became BAE Systems Integrated Defense Solutions. Following a 2005 reorganisation, the company became BAE Systems Sensor Integration, part of Electronics and Integrated Solutions.
Thales Underwater Systems or TUS is a subsidiary of the French defense electronics specialist Thales Group. It was created in 2001 and belongs to its naval division. It specializes in the development and manufacturing of sonar systems for submarines, surface warships and aircraft, as well as communications masts and systems for submarines. Its headquarters are located in Sophia Antipolis, France.
BAE Systems Avionics was the avionics unit of BAE Systems until 2005, at which time it was transferred to SELEX Sensors and Airborne Systems S.p.A.. Selex S&AS became SELEX Galileo in 2008 and from January 2013 traded as Selex ES. It then merged into Leonardo S.p.A.'s land and naval defence electronics division on 1 January 2016.
SELEX Sistemi Integrati S.p.A. was an aerospace, defence and security-related electronics manufacturing company headquartered in Rome, Italy and a wholly owned subsidiary of Finmeccanica. It designed and developed systems for homeland security; systems and radar sensors for air defence, battlefield management, naval warfare, coastal and maritime surveillance; air traffic control; and turn-key airport solutions. The company had around 4,500 employees. On 1 January 2013, it merged with its sister companies SELEX Galileo and SELEX Elsag to form Selex ES.
BAE Systems Australia is one of the largest defence contractors in Australia. It was formed by the merger of British Aerospace Australia and GEC-Marconi Systems and expanded by the acquisitions of Armor Holdings in 2007 and Tenix Defence in June 2008. It is a subsidiary of BAE Systems.
Airbus Defence and Space is a division of Airbus SE. Formed in 2014 in the restructuring of European Aeronautic Defence and Space (EADS), Airbus SE comprises the former Airbus Military, Astrium, and Cassidian divisions. Contributing 21% of Airbus revenues in 2016, it is the second largest space company in the world.
Today's Airbus is the product of international consolidation in the European aerospace industry tracing way before the formation of the Airbus Industrie GIE consortium in 1970. In 2000, the European Aeronautic Defence and Space Company (EADS) NV was established through the merger of Aerospatiale-Matra of France and DASA from Germany, and that subsequently bought Construcciones Aeronauticas from Spain. In addition to other subsidiaries pertaining to security and space activities, EADS owned 100% of the pre-existing Eurocopter SA, established in 1992, as well as 80% of Airbus Industrie GIE. In 2001, Airbus Industrie GIE was reorganised as Airbus SAS, a simplified joint-stock company. In 2006, EADS acquired the remaining 20% shares of Airbus Industrie GIE from BAE Systems. EADS NV was renamed Airbus Group NV in 2014 and finally Airbus SE in 2015. Due to the commercial aircraft division's prominence within Airbus SE with it representing the largest part of the corporation's activities, Airbus S.A.S was published to be merged into the parent company in January 2017, but it was never done. Airbus SE remains therefore as the holding company for the commercial aircraft subsidiary Airbus SAS, while also being the parent company of the other two divisions Airbus Defence and Space and Airbus Helicopters.
